Commercial terms for governed ERP access.

These terms outline responsible use of Synerquate Enterprise Intelligence Platform for tenant owners, administrators, workspace users, and subscription purchasers.

1. Service Description

Synerquate is an ERP and Enterprise Intelligence Platform for project, procurement, finance, HR, document control, reporting, and governance workflows.

  • Available modules may vary by subscription, tenant setup, and permissions.
  • Custom integrations, official API submissions, and advanced workflows require separate written scope where applicable.

2. Account Registration and Approval

Registration may require email verification, tenant code assignment, subscription validation, and administrator approval before access is enabled.

  • Users must provide accurate registration details.
  • Account approval may be withheld for security, incomplete setup, or subscription reasons.

3. Tenant Responsibility

Each tenant is responsible for its users, permissions, records, configurations, uploaded documents, and business decisions made using the platform.

  • Tenant administrators should review user access regularly.
  • Users should enter only authorized and accurate business data.

4. User Access and Permissions

Access may be restricted by role, menu, action, module, project assignment, approval state, tenant status, or subscription status.

  • Users must keep credentials confidential.
  • Unauthorized access attempts may result in suspension or termination.

5. Data Entry Responsibility

Reports, dashboards, ledgers, VAT worksheets, stock valuation, and management packs depend on data entered and configured by tenant users.

  • Tenants are responsible for reviewing data quality and configuration.
  • Exports and reports should be checked before external submission or management reliance.

6. Financial and Accounting Reports

Synerquate provides ERP reporting tools but is not a substitute for professional accounting, tax, audit, or legal advice.

  • Financial statements are based on tenant data, mappings, postings, and period controls.
  • Users should verify reports with qualified professionals before filing, publishing, or relying on them for statutory purposes.

7. VAT and Tax Compliance

VAT and tax outputs are support tools based on user-entered transactions and configuration.

  • Official tax filing or authority API submission is not included unless separately agreed in writing.
  • Tenants remain responsible for validating VAT returns, evidence, and payment/refund decisions.

8. Backup and Availability

Reasonable operational controls are maintained for platform availability, but no system is immune from interruption.

  • Tenants should maintain their own business continuity and review procedures.
  • Maintenance windows, hosting issues, or third-party outages may affect availability.

9. Subscription and Payment Terms

Subscription access may depend on active plans, payment verification, renewal status, and commercial terms agreed with the platform owner.

  • Plan features and pricing may be configured by the platform owner.
  • Suspension may apply for non-payment, misuse, or expired access.

10. Acceptable Use

The platform must be used for lawful business operations and authorized enterprise workflows.

  • Do not attempt unauthorized data access, credential misuse, system abuse, or disruptive activity.
  • Do not upload malicious, unlawful, or unauthorized content.

11. Confidentiality

Users may access confidential project, procurement, finance, HR, and document information.

  • Users must handle tenant data responsibly and according to company policy.
  • Exports and shared documents should be distributed only to authorized recipients.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Synerquate is not liable for business decisions, filings, or losses arising from inaccurate tenant data, incorrect configuration, or unauthorized use.

13. Suspension and Termination

Access may be suspended or terminated for security concerns, non-payment, misuse, expired subscriptions, or breach of these terms.

14. Changes to Service

Platform features, modules, user interfaces, reports, and terms may evolve over time. Material commercial changes should be communicated through appropriate administrative channels.
